Overlaying MP3's

I want to create a single MP3 out of two, and have each one fading
out, as the other is fading in. Any good software to recommend?

It depends how much money you want to spend. Cool Edit Pro will do what you
want and lots more besides but will cost a fair bit.

I started out using a shareware program called Acoustica which only cost
$29. It's come a long way since when i used it but it'll do exactly what you
want.
